Samantha Holroyd, NACD.DC

Ms. Holroyd is an independent board member, serving on boards for various publicly traded and not-for-profit organizations.  Her Board experience includes Oasis Petroleum, Gulfport Energy, NACD Texas TriCities Chapter, Houston Energy Finance Group, Medical Bridges and Society of Petroleum Evaluation Engineers.  In her various public company board service Samantha has held Lead Independent Director title, Chair of Nomination, Environmental, Social and Governance Committee, and has been a member of the Audit and Sustainability Committees.  She has held accountability for CEO transition (exit, search and hiring), initiating ESG into the corporate strategy, and influencing strategic initiatives around capital allocation (investment and return of capital) and M&A&D activities. 

With over 30 years of professional experience, Ms. Holroyd’s experience spans from real asset evaluations supporting Acquisitions, Divestitures and Corporate M&A, to Global Audit function supporting Corporate SEC reporting for a more than $200 Billion Multinational organization.  Ms. Holroyd worked in Private Equity for over 10 years of her career, providing guidance and assurance for over $3.5 Billion in investments.  Ms. Holroyd has international and domestic experience and spent over 10 years of her career in Advisory and Investment Banking as a trusted advisor to Management teams and Boards regarding strategic initiatives and value creation.  Ms. Holroyd started her career over 30 years ago as a petroleum engineer with Arco, supervising and leading drilling, completion and production operations across various operating assets in the Gulf of Mexico. 

Ms. Holroyd holds a BS degree in Petroleum Engineering from the Colorado School of Mines, holds a Director Certification credential from the National Association of Certified Directors, is a Registered Professional Engineer in the state of Texas and Series 79 and 63 FINRA certified.  She has been recognized as on Hart Energy’s “Most Influential Women in Energy (2020)”.  She does public speaking on Integrating ESG into Corporate Strategy, and Evolving your Professional Career, supporting progression of women in professional roles.  Ms. Holroyd enjoys tennis, golf, touring and museums locally and abroad.

 

Geoff A. Jones

Financial Leadership – Public and Private

Geoff Jones is a CFO, partner to the CEO and Board of Directors with extensive experience leading companies to drive growth and create shareholder value through strategic M&A, financings, turnarounds and crisis management in an industry renowned for its cyclicality.  

He is a natural communicator and motivator, and has built and developed diverse talent, and retained, navigated and motivated his teams through adverse challenges. He is a member of the Board of Directors of OMNI Environmental Solutions, a $250m portfolio company of One Equity Partners. 

Having been at OMNI for ten years, Geoff has collaborated with the CEO to drive growth and expand the company’s geographic footprint through acquisitions in prolific oil and gas shale plays, simultaneously focusing the company on its core operations by divesting of non-core segments. Through three changes of ownership (private to public to private) and two severe industry downturns, Geoff’s leadership has resulted in the retention of top performers among his teams’ ranks.  

Prior to OMNI, Geoff was at Trico Marine for seven years, a global public company with operations in the Americas, Europe, Africa and Asia, where as CFO, Geoff was instrumental in transforming Trico from the re-IPO of the company to its international expansion into the subsea market through $1b in acquisitions, financed with a combination of equity and various debt securities. Trico grew to a $700m revenue entity.  

At Trico, Geoff built a diverse management team as the company continued its growth trajectory. He also developed and executed the Investor Relations program. 

Geoff has more than thirty years of experience in the energy industry, with hands-on experience on several continents.  

He has an easy communication style and is just as comfortable talking to the board as he is to the employees at all levels.  

Geoff was born and raised in the UK, and has a degree in Accounting, Economics and Law from the University of Aberdeen, Scotland. He is a member of the Institute of Chartered Accountants of Scotland. 

He is a keen runner, and having completed the Boston, New York and London Marathons, is currently scheduled to run Tokyo and Berlin when CV-19 permits. 

He lives in Lafayette, Louisiana.

Cynthia Nesser
Board Member and Business Owner
C1 Create, Arizona Sustainability Alliance

Cynthia Nesser is the owner of C1 Create, a successful business marketing and litigation support consultancy based in Houston and New Orleans. For almost 30 years, the firm has provided presentation assistance, media and evidence management services to both plaintiff and defense attorneys engaged in major commercial, industrial, consumer, and injury litigation. She also assists companies with business plans, pitch books, and proposals. Project Management, Editing, Public Relations, Press Releases, Media Coordination, and other key services are offered to individuals, businesses, and nonprofits.

As an honored graduate of Southeastern Louisiana University, Cynthia serves on the Board of the Southeastern Louisiana University Foundation, recently completing two-years’ service as Board President. She current serves as their Governance Chair and serves on the Philanthropy Committee.

Additionally, Cynthia serves as a Chairman of the Board of Directors for the Arizona Sustainability Alliance, a non-political group that serves to promote sustainability through environmental projects which also promote social justice.  Using cutting-edge technology in areas like food systems, renewable energy and conservation workforce training and tree plantings using a tree equity scoring method.  

Active in nature conservation projects, Cynthia is currently assisting in the publishing of a book and several articles on a nature easement in central Texas. She is also President of the Board of Directors of SciArt Exchange, an innovative nonprofit that offers multi-disciplinary art contests, artwork events, consulting, training and community resource services to support science and technology education, collaboration, and innovation worldwide.

As a volunteer, Cynthia assists various charities on board development, fundraising, governance, strategic planning and other board management issues including transparency, conflict of interests, and compliance. Having served as Chairman of the Board and an active board member of several charities, her experience with the many challenges that boards face provides critical insight in addressing those issues.
