Overview

Most people are familiar with what has happened in equity markets this year, but what about the debt markets? Recent inflation and higher interest rates may be cause for concern if you are looking to borrow money any time soon. This panel will discuss the impact of the current economic environment. Financing markets are expected to grow to $26 billion over the next 5-6 years.

Panelists will share their experiences with new debt structures and challenges that businesses will face if pursuing a new debt funding. Unlocking the mystery of Debit Financing is the takeaway for board members in order to provide guidance for the CEO.

Holly has over 25 years of experience in banking, primarily in Commercial Lending. For the past 10 years, she has had a primary focus in ESOP lending and has helped many companies transition from a privately held ownership structure to employee ownership. She has worked in both publicly and privately held institutions and is currently employed by Georgia Banking Company, which was relaunched to fill the lack of a locally-owned bank in the middle market.

Holly grew up in a family business which was sold in the third generation, so she has firsthand knowledge of the issues companies face, both from a business and an ownership standpoint.

Michael McGinley
Prairie Capital Advisors

Michael McGinley joined Prairie Capital Advisors in 2012 and is a shareholder in the firm. He provides financial advisory services primarily to middle market, privately-held businesses in a wide range of industries. Michael specializes in all aspects of ownership transition and financial advisory services to business owners, Boards of Directors and trustees, including employee stock ownership plans (ESOPs), mergers and acquisitions (M&A), capital raising and the valuation of businesses and business interests for strategic planning, gift and estate tax planning, financial accounting and reporting, buy-sell agreements and dispute resolution. He is also instrumental in developing Prairie’s ESOP sell-side and capital raise practice.

Michael frequently presents on ESOP-related topics, including sell-side advisory, capital raising, valuation and corporate governance, in a wide variety of venues, such as the National Center for Employee Ownership, The ESOP Association, the American Council of Engineering Companies and the Treatment Center’s annual conference on investment and valuation. He has also written on ESOP-related topics for publications in the furniture and behavioral health industries. Notably, Michael co-authored Making Sense of Your New ESOP: A Leader’s Guide.

Michael serves as a member of The ESOP Association’s Valuation Advisory Committee, and he was recognized as a Top 40 Under Forty honoree by the National Association of Certified Valuators and Analysts (NACVA) in 2017.

PROFESSIONAL EXPERIENCE
Prior to joining Prairie, Michael was a Manager at Willamette Management Associates. He performed financial advisory services for purposes of M&A, divestitures, transaction negotiations, feasibility studies, strategic planning, fairness opinions and adequate consideration opinions. Before joining Willamette Management Associates, Michael was a consultant at Value Prism Consulting where he performed valuations for a variety of purposes, including M&A; divestitures; corporate restructurings; financial reporting for purchase price allocations; goodwill and long-lived asset impairment testing; and complex equity derivatives transactions.

EDUCATION
Michael holds a Master of Business Administration degree with a concentration in Finance from Georgia State University and a Bachelor of Science degree from Georgia Institute of Technology. Michael currently holds FINRA Series 63 and 79 securities licenses.
