Cybersecurity is a critical business issue that is a priority for every company and its board of directors. As companies change the way people work using technology in hybrid work environments, new vulnerability points continuously arise. The infrastructure for daily work life is more reliant on internet connections, data clouds, and wireless nodes, creating opportunities for hackers to target companies. Failure to address these issues creates substantial risks, including operational shutdowns, reputational damage, and regulatory consequences. It is essential for boards of directors to ensure their companies are prepared for potential cyberattacks and to know what questions to ask. Charlie Billings joined Professional Case Management / PCM Trials as Chief Information Officer in 2019. He has over 25 years of information technology management experience. At PCM, Mr. Billings built an award-winning team and transformed the IT platform to an integrated cloud-based digital architecture. These systems have enabled PCM to scale efficiently and to expand internationally while achieving compliance with an array of healthcare and international regulations.
Before joining PCM, he was Chief Technology Officer at LT Trust Company. There, he created a technology platform which allowed the company to scale to 10 times its original size through automation while building an IT department that achieved top compliance ratings from regulators.
Prior to LT Trust, Mr. Billings held IT Director positions at Fiserv, First Data, and Qwest Communications. There, he led software development, software quality, program management, security and compliance teams. He also played a leading IT role in several large mergers and acquisitions. Mr. Billings started his IT career with Deloitte & Touche Consulting Group, implementing large information systems.
Mr. Billings received his bachelor’s degree from Boston University and his master’s degree from Carnegie Mellon University.

Julie Cavanna-Jerbic is an experienced corporate board member with a deep background in technology, services, and finance. As a former C-Suite executive and accomplished global leader at Hewlett-Packard, Julie directed top-level, high-profile initiatives in Finance, Sales Account Management, and Enterprise IT. These initiatives contributed to organizational transformations, financial integrations, and go-to-market turnarounds producing solid top-line growth and double-digit efficiency gains. She also scaled organizations within HP to support rapid growth on a global basis as evidenced by successfully executing over ten mergers, acquisitions, and divestitures in leadership and GM roles. Julie achieved results by leading her teams with courage, grace, and a commitment to excellence.

As a former GM, CFO, and CIO, Julie now holds several board roles in addition to her teaching and speaking commitments. She has just completed a two-year tenure as an Independent Director on the Board of ALJ Regional Holdings, Inc. (NASDAQ: ALJJ), Chairing the Technology Committee, and a member of the Audit Committee (as a Qualified Financial Expert) and Compensation, Nominating and Corporate Governance Committee. Julie serves on the Supervisory (Audit) Committee of First Tech Federal Credit Union ($17B in assets. She also served as the Audit Committee Chair of LotLinx, a private company, which is a SaaS provider of digital retailing and marketing technologies for the Automotive Industry. In the spirit of giving back to her community, she is on the Board of Trustees of Morrissey Compton, a non-profit corporation assisting children with learning differences. Julie is also a past Board Chair and President of Financial Executives International (FEI) Silicon Valley.

Julie began her career with Hewlett Packard, which had just hit $15B in revenue, as a financial analyst for the CFO. She excelled through a series of financial and operational leadership positions with top line responsibility ranging from $200M to several billion. As the CFO & Vice President, Global Information Technology, Julie played a pivotal role in the transformation of the $4B HP IT organization into a strategic advantage, fueling revenue growth of 7% and yielding over $1.7B of efficiency improvements. As the CIO and Vice President of Information Technology and Integrations, Julie re-architected the global financial systems landscape, simplifying and streamlining processes for this $120B, Fortune 50 company. In 2012, she completed a markedly successful twenty-eight-year tenure with HP as a member of the CFO and CIO executive management teams.

As the principal and founder of Iron Butterfly LLC, she currently advises leadership teams on managing M&A transactions, business disruptions, and corporate culture. Julie possesses deep expertise in Data Analytics, Enterprise Risk Analysis, and Technology Enablement. As a faculty member at Santa Clara University’s Executive Education Center, Julie focuses her efforts on the Women’s Corporate Board Readiness Program. In this program, she is privileged to teach the Audit and Compensation Committee sections.

Julie is a native of the Central Valley of California, growing up in family businesses. She earned a B.A. in Economics and French Literature from the University of California at Berkeley graduating with High Distinction and Phi Beta Kappa, a M.B.A. in Corporate Finance and Marketing from the University of Southern California and holds a certificate from the Directors' College at the Rock Center for Corporate Governance at Stanford University Law School. Julie earned the CERT (Computer Emergency Response Team) Certificate in Cybersecurity Oversight developed by NACD and Carnegie Mellon University’s CERT division, demonstrating her commitment to advanced cybersecurity proficiency and governance. Julie also completed her certificate in the NACD ESG Continuous Learning & Governance program.

Julie A. Keersmaekers is Of Counsel at the Denver office of Constangy Brooks Smith & Prophete  LLP and a member of the Data Privacy & Cybersecurity Practice. Julie represents clients in various facets of data privacy compliance, information security preparedness and incident response. In particular, Julie counsels clients on data privacy compliance under domestic and international laws and regulatory regimes including the GDPR, CCPA/CPRA and HIPAA, performs privacy program assessments, and drafts policies, procedures and agreements to help clients satisfy requirements and manage risk. Julie also helps clients respond to complex data security incidents by supervising investigations, navigating response obligations, and guiding clients through regulatory inquiries.

Sally Sommers

Sally Sommers heads up SMS Advisors, a global employment consulting firm which focuses on advising companies on global expansions and M&A. Previously she was the Senior Vice President and Associate General Counsel of Employment, Labor, Compensation, and Benefits for The Western Union Company. In this global, C-Suite role, she advised the Board of Directors, CEOs, and executive management at The Western Union Company on human capital management (HCM) matters, global expansions, compliance and risk management matters, and M&A for 13,000 employees in 59 countries. She also served on the ethics, diversity, equity and inclusion (DEI), and risk committees.  

Before joining The Western Union Company, Sally was Executive Corporate Counsel/Advisor to the Board of Directors and executive management at First Data Corporation responsible for global employment, labor, compensation, and benefits matters for 32,000 employees in 57 countries. Ms. Sommers began her career at Chevron Corporation in the Land Department negotiating U.S. oil and gas deals.  She later served as corporate counsel at Chevron’s coal subsidiary, providing a full range of general corporate and U.S. employment and labor legal advice. 

She is Founding Board member and Program Committee Co-Chair of the Private Directors Association, Colorado Chapter. She holds a board of trustee position with The Iliff School of Theology and serves on the DEI and Trustee Affairs Committees.  In April 2022, she completed the Women’s Directors Development Program at Northwestern University’s Kellogg School of Management. In June 2021, she completed the Women’s Corporate Board Readiness Program at Santa Clara University Leavey School of Business at the Silicon Valley Executive Center.  She is also an ACE LLE Board Program graduate.

Sally has a Juris Doctorate from Saint Louis University School of Law and a Bachelor of Arts, cum laude, in English, from the University of Notre Dame. She is a member of the State Bars of Colorado and Missouri.
