Overview

You have been asked, but how do you decide whether to say “Yes”? With a private company, where do I go to gather vital business and financial information about the company you intend to join? How do you access the degree of risk entailed in the appointment? What type of D&O insurance coverage is in place? etc.

Panelists

   Tim Woodward
   Former Insurance SVP and Chief Risk Officer

Tim Woodard has business (1986) and law (1989) degrees from Louisiana State University with various honors and recognitions in both instances. He began his professional career in private law practice in New Orleans with a focus on insurance, contract and corporate legal matters. He was an equity partner in Nesser, King and LeBlanc before joining McDermott, International, Inc., then a global Engineering and Construction conglomerate with a $9 billion market cap. At McDermott he served in many roles including Chief Risk Officer and Associate General Counsel - Corporate, Associate General Counsel - Operations, and VP of Risk Management andInsurance.

Tim found that he really enjoyed insurance and risk management and later joined brokerage firm Lockton (Texas) where he served as Senior VP and Practice Leader - Marine and Energy. His focus at Lockton was assisting private and publicly held multi-national corporations with identifying and managing risk and creating cost efficient risk financing programs using global markets, captives and other risk financing solutions..
 

   Jeff Edwards
   Audit Partner and Practice Leader – Private Equity and Alternative Investment
   Whitley Penn

Jeff Edwards has more than 20 years of audit experience with public and private companies, including two years of experience as a Controller for an SEC registered investment fund. He is a trusted business advisor and consultant for clients in industries such as: investment funds, real estate, exploration and production, energy, midstream, oilfield services, drilling, manufacturing, distribution & logistics, financial institutions, broker/dealers, private equity investment companies and benefit plans. He has an in-depth knowledge and familiarity with SEC reporting related to both accelerated and non-accelerated filers.

Jeff received his BA in Accounting from Southwestern University and his MS in Accounting from the University of Houston-Clear Lake. 

   Tim Losie
   Partner, SVP and Regional Practice Leader

Tim joined USI’s Executive & Professional Risk Solutions (EPS) group in 2016. In his current role, he leads the Southwest Region EPS team, which focuses on the placement and servicing of USI’s clients’ management liability, professional liability, crime, and cyber coverages. As a super-regional leader, he also oversees the EPS efforts in the West and Northwest regions. Since joining USI, Tim has been recognized as a Power Broker® by industry publication Risk & Insurance®.

Prior to joining USI, Tim worked in these lines of coverage for nearly 16 years, most recently managing a 12-state region for one of the largest underwriters of management liability insurance in the United States. Tim also spent time as a broker in Aon’s Financial Services Group in Denver, an underwriter at one insurance carrier and a claims adjuster at another, both in New York City. The breadth of his background gives him unique insight into both clients’ and insurers’ needs.

Tim earned an M.B.A. at The McCombs School of Business at The University of Texas at Austin and a bachelor’s degree in economics at Ohio University in Athens, Ohio. Tim is an alumnus of the Andrew Beazley Broker Academy at Lloyd’s (London). He is an active member of the Professional Liability Underwriting Society (PLUS).

Outside of the office, Tim is a co-owner of a skincare studio with his wife, Jaclyn, and he has volunteered his time as a mentor for Big Brothers Big Sisters, has participated in the building of multiple houses for Habitat for Humanity and is a regular participant in the USI Gives Back philanthropic efforts.

Tim grew up Michigan and Ohio and lived throughout the U.S. before moving to Houston. He has a passion for hi-fi audio/vinyl records, and he most enjoys simply spending time with his wife and two daughters.

   Kim Denney

Kim Denney is a well-connected, experienced Houston leader. Her ability to see potential in an organization, as well as discerning the path to an improved future state, underpins her capacity to work collegially and creatively to develop and pursue a strategic vision. She assertively challenges the status quo, listening for the best ideas and approaches, while energizing all stakeholders with her authentic and inclusive communication style. Kim is quick to collaborate and stir support to lead through radical strategic change.

Her global perspective, engineering background, and financial acumen shaped a record of solving top-level problems as an executive with broad responsibilities in the Petrochemical, Energy, and Manufacturing industries. Her P&L experience included accelerating organic growth, successful acquisitions and achieving millions in savings through cost-cutting, divestitures, integrations, and efficiency projects.  In over 20 years as a Director, Kim has developed a keen understanding of board governance and the unique role of a board member from both a fiduciary’s and a strategist’s perspective.  Governance expertise, combined with previous Environment Health & Safety responsibility and decades of study/practice of the art of Servant Leadership, combine to create a strength in the specific ESG topics that many boards are focused on today.

Kim’s passionate commitment to private businesses and non-profit organizations is evident in her board service through difficult transitions and the breadth of her support of business- and community-centered organizations. She frequently speaks on leadership topics at professional events.  Kim has also thrived while launching a start-up and advising middle-market entrepreneurs, family businesses, and their leadership teams.
