Board Composition – Critical to Your Company’s Success

Overview

When a company needs to go in a new direction, bringing on a new board of directors is often central to successful change. Even when only one or two new directors will be brought onto the board, their selection must line up with the where the company hopes to go over the next two to five years and be a good “fit” with the remaining board members. The new directors will help make core decisions defining the company’s future path.

Board member recruitment and selection is an expression of the goals, risk preferences, and values of the owners and senior leadership of the company.

Doing it right is the topic of this program.

Joe Campanelli, the CEO/Board Chair of Needham Bank, Massachusetts, believed the time was right for a major change in the bank’s direction. The bank’s board of directors helped build the bank, but he believed that the board’s composition needed to change to drive the bank’s next phase. Joe engaged Joe Ayoub of Varuna Strategies to help define the new role for the board and to identify the skills, experience, and other essential board member attributes. Joe’s firm then recruited the new board members.

Rick Williams, PDA national board member, will interview Joe Campanelli and Joe Ayoub as they tell the story of how they defined the new board’s mission and recruited new board members in anticipation of the bank’s IPO. Lori Marcus will join the conversation to bring in the point of view and lessons learned of an experienced independent director and how she decides whether to join a board.
